01. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Zorith Sales, a product of ZORITH ("we," "us," or "our"). By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms.

If you are using Zorith Sales on behalf of a business, you represent that you have authority to bind that business to these Terms.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or an in-app notice. Continued use of the Service after changes take effect constitutes your acceptance.

02. Intellectual Property and Copyright

Zorith Sales and all associated software, user interfaces, code, design, features, and content are the exclusive property of ZORITH and are protected under applicable copyright, trademark, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service strictly for your internal business purposes. You may not copy, modify, distribute, sell, sublicence, reverse-engineer, decompile, or otherwise exploit any part of the Service without prior written consent from ZORITH.

Any feedback, suggestions, or ideas you submit regarding the Service may be used by ZORITH without restriction or compensation.

03. Trademarks

ZORITH™, Zorith Sales™, and all associated logos, wordmarks, and visual identifiers are trademarks of ZORITH. This protection extends to all current and future ZORITH products, services, projects, and ventures, whether or not individually named in this document.

You may not use any ZORITH trademark in any manner that implies endorsement, sponsorship, or affiliation without prior written consent. Unauthorised use of ZORITH trademarks may result in legal action.

04. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at hello@zorith.io if you suspect unauthorised access.

You must provide accurate and complete information when registering and keep your account details up to date.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or are inactive for an extended period.

05. Acceptable Use

You agree to use Zorith Sales only for lawful business purposes. You must not:

— Attempt to gain unauthorised access to any part of the Service or its underlying infrastructure; — Reverse-engineer, decompile, or disassemble any part of the software; — Use the Service to store or transmit unlawful, harmful, or fraudulent content; — Resell, sublicence, or commercially exploit the Service without authorisation; — Interfere with or disrupt the integrity or performance of the Service; — Use automated tools or scripts to access the Service in a manner that places unreasonable load on our infrastructure.

Violation of these rules may result in immediate suspension or termination of your account without refund.

06. Your Data

You retain full ownership of all business data you enter into Zorith Sales, including sales records, inventory data, customer information, and financial data. ZORITH does not claim ownership of your data.

You grant ZORITH a limited licence to process your data solely for the purpose of providing and improving the Service.

Upon termination of your account, you may request an export of your data. We will retain your data for 30 days following termination before permanent deletion, unless a longer period is required by law.

07. Service Availability

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance, updates, or unforeseen technical issues may cause temporary downtime.

ZORITH shall not be liable for any loss or damage resulting from unavailability of the Service due to circumstances beyond our reasonable control, including but not limited to network failures, third-party infrastructure outages, or force majeure events.

08. Third-Party Integrations

Zorith Sales may offer integrations with third-party services. ZORITH is not responsible for the performance, availability, security, or data practices of any third-party service. Use of third-party integrations is at your own risk and subject to those services' own terms and policies.

09. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

ZORITH DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZORITH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

ZORITH'S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO ZORITH DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not permit the exclusion or limitation of certain liabilities. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless ZORITH and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses — including reasonable legal fees — arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

You may terminate your account at any time by contacting us at hello@zorith.io.

We may suspend or terminate your access to the Service at any time, with or without notice, if we determine that you have violated these Terms or that your use poses a risk to the Service or other users.

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination will continue to apply.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Uganda, without regard to its conflict of law provisions.

Any disputes arising from or related to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Uganda.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ZORITH regarding your use of Zorith Sales and supersede all prior agreements, representations, and understandings.
