Terms of Service.

01. Infrastructure License

ZORITH grants you a limited, non-exclusive, non-transferable license to access the Zorith Sales infrastructure. This license is strictly for lawful business operations. Any attempt to bypass system nodes, reverse-engineer the schematic logic, or engage in high-velocity data abuse will result in immediate termination of access.

02. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZORITH AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OPERATIONAL DOWNTIME.

In no event shall the total liability of ZORITH exceed the total fees paid by you to Zorith Sales during the twelve (12) month period immediately preceding the event giving rise to the claim.

03. Indemnification

You agree to defend, indemnify, and hold harmless ZORITH, its officers, directors, and employees from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of the platform or violation of these terms.

04. Third-Party Integrations

Zorith Sales may facilitate connections to external nodes, including SAP ERP systems. ZORITH assumes zero liability for the performance, security, or data integrity of these third-party systems. Use of such integrations is entirely at your own risk.

05. Governing Law

These terms shall be governed by and construed in accordance with the laws of the Republic of Uganda, without regard to its conflict of law provisions. Any legal action or proceeding arising under these terms will be brought exclusively in the courts located in Kampala, Uganda.
